TaxCon comprises of separate team who is expert in drafting and filing of applications, caveat petitions, objection or counter application with the NCLT in prescribed forms and formats with the required legalities, in order to get the application/ petitions accepted in first instance. The applications may be filed by the Corporate Debtors/ stressed companies (CD) or by Claimants for bringing up the matter to NCLT, like:-

Corporate Insolvency Resolution Process (CIRP)

TaxCon is providing various advisory services to its Clients through its associates / Insolvency professional (IP) who have been appointed as Interim Resolution Professional (IRP) or Resolution Professional (RP) in the Corporate Insolvency Resolution Process (CIRP) of any Corporate Debtor (CD). Following support services are extended by different teams of TaxCon for efficient handling of (CIRP):-

TaxCon Claim Verification Team for Consolidation and Verification of Claims submitted by financial creditors, operational Creditors, workmen/employees and statutory dues etc.
TaxCon Front End Team for taking over control and custody of any asset over which the corporate debtor has ownership rights as recorded in the balance sheet of the corporate debtor, or with Information Utility (IU) or the depository of securities or any other registry that records the ownership of assets.
TaxCon has developed a team responsible for conducting various functions of CIRP. The important jobs performed by the team are as follow:-

To Communicate with all stakeholders such as Members of Committee of Creditors (COC), other claimants, promoters and directors, Key Managerial Personnel, statutory authorities, auditors, employees of CD, etc for the purpose of seeking information, informing them about the commencement of CIRP, coordinating for litigation.
To convene the COC meeting and to prepare all notices, agenda, minutes etc.
To prepare Information Memorandum (IM) in accordance with section 29 of IBC for formulating Resolution Plan (RP).
To conduct entire process of an invitation of RP such as invitation of Expression of Interest (EOI), in Form G, preparation of RFRP, evaluation matrix, eligibility criteria and other documents for receipt, examination and presentation of RP for the approval of COC.

Liquidation

TaxCon has developed a team of experts who handle the liquidation process wherein the directors/associates of Insolvency Professional Entity are being appointed as liquidator under Liquidation Process and Voluntary Liquidation. The team has expertise in conducting liquidation of insolvent companies and implements strategies to realize from sale of tangible and intangible assets expeditiously in a time- bound manner for maximization of value for the stakeholders.

Corporate Advice

We offer corporate advice to the clients on activities like mergers and acquisitions (M&A), advisory and due diligence in Business valuation for take over of business, Restructuring and One TIme Settlement (OTS), We also offer legal advice to the client to take a specific course of action based on the applicable law.
Prepack Insolvency resolution
Our team are into the main business of the CIRP and Liquidation and well versed with Prepack Insolvency Resolution Plan (PPIRP). Our team is well versed with the problem of the MSME issue and in-depth experience to resolution through PPIRP. We provide all guideline and support service to prepare base Resolution Plan, Preliminary Information Memorandum and formality require at early stage.
